아일랜드 중앙은행(CBI)은 QIAIF를 규제한다. 2016~2017년 CBI에 의해 규제된 110조 SPV에 관한 아일랜드 공공세금 스캔들이 등장하자 CBI는 거의 사용되지 않는 LQIAIF를 110조 SPV와 동일한 혜택을 주되, 완전한 비밀과 세금 비밀로 업그레이드했다.[1][2]

적격투자자대체투자펀드(QIAIF)는 아일랜드의 자산 보유에 대한 비과세 법적 구조를 위해 2013년 설립된 아일랜드 중앙은행 규제분류다[a]. 아일랜드 집합자산관리차량(IRV) 또는 ICAV는 아일랜드의 5개 QIAIF 구조 중 가장 인기 있는 구조로 2014년 케이맨 아일랜드 SPC에 필적하기 위해 설계됐으며 아일랜드 자산을 보유한 외국인 투자자를 위한 비과세 주요 구조다.

2018년, 아일랜드 중앙은행은 Original QIAIF 또는 L–Q를 확장했다.5개의 비과세 구조를 폐쇄형 채무상품에 사용할 수 있도록 하는 IAIF 제도. L-QIAIF는 110 SPV 조의 기밀성 및 세금 비밀성의 결여를 극복하기 때문에 아일랜드의 주요 부채 기반 BEPS 도구다.[b] QIAIF와 LQIAIF의 많은 자산이 아일랜드 세금으로부터 보호받는 아일랜드 자산이라는 주장이 있다.[c][4] 아일랜드 QIAIFs와 LQIAIFs는 아일랜드 기업 기반 침식 이익 이동("BEPS") 세금 도구와 통합되어 아일랜드 세금 시스템에서 아일랜드의 주요 Sink OFC, 룩셈부르크까지 비밀 경로를 만들 수 있다.[d]

유엔은 2019년 3월 아일랜드 자산에 대한 외국인 자금에 대한 아일랜드의 '선호적 조세 제도'를 아일랜드 세입자의 인권에 영향을 미치는 것으로 파악했다.[6][7]

특징들

아일랜드 QIAIF는 유럽 QIAIF의 구성 과정(예: 다양화, 레버리지), 관리(예: AIFM 승인 관리자), 마케팅(예: 적격 투자자)에 관한 세부 규칙을 제시하는 EU 대체투자펀드 매니저 지침 2011(이하 AIFMD)의 적용을 받는다. 그러나 아일랜드 QIAIF에 특정된 가장 중요한 특징은 다음과 같다.[8][9][10]

2016년 현재 아일랜드 QIAIF에는 4,350억 유로의 대체 자산이 보유되었다. 아일랜드는 EU 내 4조4000억 유로(약 4조4000억 유로) AIF 시장의 9.9%로 독일(31.7%), 프랑스(21.3%), 룩셈부르크(13%)[10]에 이어 4위다. 중요한 금액의 QIAIF 자산(또는 AIF 자산)은 아일랜드 세금으로부터 보호받는 아일랜드 자산이라고 주장한다.[20][21][22][23]

ICAV

5개의 QIAIF 법적 포장지에는 각각 다른 용도로 설계된 속성이 있다. 그러나 신탁법의 특정 속성이 필요하거나(그리고 Unit Trust QIAIF를 사용할 예정), 전체 회사 구조만 사용할 수 있는(그리고 VCC QIAIF를 사용할 예정) 법인 이외에서는 ICAV가 지배적인 QIAIF 포장지가 될 것으로 예상된다.[24]

L-QIAIF

Stephen Donnelly TD는 2016년에 110개의 SPVs에 대한 악용을 적발했고, QIAIFs를 통해 상업용 부동산을 외국인 투자자에게 면세하도록 하는 것은 사무실 거품과 주택 위기를 야기할 것이라고 경고했다.[30][31]

아일랜드 중앙은행이 AIF '규칙북'을 업데이트한 지 3개월 후인 2018년 5월 아일랜드 수입 위원들은 아일랜드 자산에 대한 아일랜드 세금을 피하기 위한 메커니즘으로서의 매력을 더욱 감소시킬 110조 SPV 과세에 대한 새로운 지침을 발표했다.[36] 2018년 6월, 아일랜드 중앙은행은 미국 소유의 550억 유로가 아일랜드 GNI*의 거의 25%에 해당하는 아일랜드 자산이 110개의 SPV에서 빠져나갔다고 보고했다.[2][3][37] 특히 L-QIAIF, ICAV 포장지는 아일랜드 자산에 대한 아일랜드 세금을 비밀리에 관리하는 중요한 구조가 될 것으로 보인다.[c][38]

아일랜드에는 아일랜드 부동산 펀드(IREFs: Irish Real Estate Funds)가 비과세, 아일랜드 부동산 자산(예: Green REIT PLC), 보험 자산에 대한 소유권이 있다. 아일랜드 부동산에 대한 미국의 부실채권자금의 투자는 대출취득을 통해 이루어지기 때문에 L-QIAIF를 사용한다.[3][38] 또한 아일랜드 부동산의 외국인 투자자들은 해외에 본거지를 둔 구조화된 대출을 통해 보유함으로써 여전히 L-QIAIF를 이용할 수 있기 때문에 아일랜드 세금도 비밀리에 회피할 수 있다.[39][40]

QIAIF 체제는 국제금융서비스센터(IFSC)가 유럽에서 가장 큰 자금조달섀도뱅킹 위치 중 하나로 만드는 데 기여했다.[33] 많은 자산운용사들, 특히 대체투자운용사들은 아일랜드 QIAIF 포장지를 펀드 구조화에 사용한다. 그러나 펀드 구조는 경쟁력 있는 시장이며 룩셈부르크와 같은 다른 조세 피난처들은 동등한 상품을 제공한다. 아일랜드 QIAIF의 자산 중 상당수가 아일랜드 자산이며, 특히 2012~2017년 아일랜드 주가 1,000억 유로 이상의 부실 자산을 매각한 결과라고 주장한다.[4][22][23]

QIAIFs는 아일랜드의 강점을 세계 최대의 기업 BEPS 도구와 함께 기업 중심 조세 피난처로,[32] 전통적인 조세 피난처 유형 활동(Cayman SPCs가 아일랜드 ICAV로 재도명되는 이유)으로 연결한다.[51] 아일랜드 ICAV의 발사는 널리 다뤄졌고, 그 중 가장 규모가 큰 해양 마법 서클 로펌에 의해,[12] 메이플스와 칼더가 수석 건축가 중 한 명이었다고 주장하면서, 찬사를 보냈다.[11]

아일랜드 자산에 대한 아일랜드 세금을 회피하기 위해 QIAIF와 ICAV 포장지를 사용하는 외국 기관의 능력은 더블린 상업용 부동산의 거품, 그리고 시사하는 바대로 더블린 주택 대란과 연결되었다.[30][31][33] 더블린의 주택 위기와 주택 구입 가능성 문제에도 불구하고, 외국인 지주들('쿠쿠 펀드'라고도 불림)은 비과세 방식으로 아일랜드에서 운영되고 있다.[4][7] 재산 개발, 세금 인센티브를 통한 부동산 가격 과다 인플레는 아일랜드 양대 정당인 피아나 파일파인 가엘의 역사적 경제 전략을 선호한다는 주장이다.[52][e]

이러한 QIAIF의 위험은 2014년 중앙은행(Central Bank of Iland)이 최초 후 유럽시스템 위험위원회("ESRB")에 자문했다가 실패하면서 IFSC 세무법인에 의해 L–Q 확대를 위한 로비를 실시하면서 부각되었다.아일랜드 대출 투자에서 아일랜드 세금을 없애기 위한 IAIF 체제.[54][f]

2019년 3월 유엔 주택특별조사위원회(UN Special Rappoter on Housing)인 레일라니 파라는 아일랜드 내 세입자의 인권을 훼손하고 있던 아일랜드 자산에 대한 외국인 투자자금에 대한 '우선세법'에 대한 우려와 관련해 유엔을 대표해 아일랜드 정부에 공식 서한을 보냈다.[6][7]

아일랜드 기술기업가 패디 코스그레이브는 2019년 4월 "L-QIAIF는 대량살상무기가 될 위험이 있다"는 내용의 QIAIF와 L-QIAIF의 남용을 강조하는 페이스북 캠페인을 시작했다.[33][55]
