캐노피 성장 주식회사(Canopy Growth Corporation, 이전 Tweed Margara Inc.)는 온타리오주 스미스 폴스에 본사를 둔 대마초 회사다. 트위드는 2013년 브루스 린튼과 척 리피피[2] 설립했고,[3][4] 2015년 베드로칸 캐나다와 합병해 캐노피 성장법인으로 개칭했다. 마크 제쿨린 역시 공동창업자였다. 린튼이 회사에서 쫓겨난 후 2019년 7월 초 현재 단독 CEO가 되었다가 12월 20일 새로운 CEO가 발표되면서 물러났다.[5]

2019년 4월까지 캐노피는 모든 주식의 가치, 즉 시가총액 기준으로 세계 최대 대마초 회사였다.[6] 당시 Constellation Brands Inc.는 약 3,200명의 직원을 둔 회사의 35% 이상을 지배했다.[7] 그러나 2019년은 주가가 약 32%[8] 하락하는 등 새로운 도전에 직면했다.

브루스 린튼은 초대 창업자, 회장 겸 공동대표[9], 마크 제쿨린은 린튼이 회사에서 쫓겨난 2019년 7월 3일까지 공동대표 겸 사장직을 맡았다.[10]

캐노피 성장(Canopy Growth)은 북미에서 최초로 연방규제, 면허, 상장 대마초 생산업체로, 토론토 증권거래소에서 위드(WEED)로 거래됐다. 뉴욕증권거래소에서 2018년 5월 24일 NYSE 최초의 대마초 생산업체로 CGC로 거래되기 시작했다.[11][12] 2018년 10월 17일,[13] 캐나다에서는 마리화나가 레크리에이션용으로 합법화되었다.[14] 캐나다 최초의 합법적인 대마초 판매는 브루스 린튼 최고경영자(CEO)가 세인트 트위드 매장에서 자정께 이뤄졌다. 존스, 뉴펀들랜드, 래브라도.[15]

트위드는 온타리오주 스미스 폴스에 있는 옛 허쉬의 초콜릿 공장 중 하나를 운영하고 있으며,[19] 나이아가라 온 더 레이크에 트위드 팜스 온실을 운영하고 있다.[20][21]

민간에서 대마초 판매가 허용된 지방에서는 자회사인 트위드를 통해 소매점을 개설했다.[14][22][23] 2019년 4월 현재 마니토바, 뉴펀들랜드, 래브라도, 사스카체완 등에 트위드 매장이 문을 열었다.[24] 캐노피 성장사는 도쿄 스모크 브랜드로 매니토바와 온타리오에 대마초 매장을 열었다.[25]

캐노피 성장사는 2018년 6월 밴쿠버 브리티시 컬럼비아 대학대마초 과학 교수회브리티시 컬럼비아 물질 사용 센터(BCSU)와 연계해 자금을 지원했다.[26] 2018년 10월 5일까지 이 회사의 시가총액은 140억[27] 달러를 넘어섰고, 오타와 무역위원회와 오타와 비즈니스 저널이 선정한 2018년 올해의 CEO에 린튼이 선정됐다.[28][29]

Constellation 브랜드와의 파트너십

2018년 8월 글로벌 시장을 보유한 미국 맥주, 와인, 양주 생산업체인 Constellation Brands는 캐노피 성장사에 50억 달러(38억 달러)의 추가 투자를 발표해 기존 10%에서 38%[7]의 지분을 확보했다. 브루스 린튼 대통령은 추가 자금은 연방법이 허용하는 곳이라면 어디든 국제적인 확장에 사용될 것이라고 말했다.[30][31] 향후 마케팅 계획에는 대마초 음료, 수면 보조제 등의 제품이 포함된다.[32] Constellation 거래가 발표된 후, 캐노피 성장의 시장 가치는 거의 120억 달러까지 상승했다.[33][34] 캐나다 대마초 시장이 하반기에 걸쳐 하락세를 보이던 2019년 말, Constellation Brands는 의료 및 레크리에이션 시장을 위한 음용 대마초 제품 개발 장기 계획이 남아있지만 캐노피 성장에는 더 이상 투자할 계획이 없다고 발표했다.[35]

2019년 구조조정

뉴스 보도에 따르면 브루스 린튼이 긴급 이사회를 거쳐 2019년 7월 2일 벤처캐피탈 사업부 캐노피 성장 및 캐노피 리버스에서 맡은 모든 역할에서 쫓겨났다고 한다.[35]

당시 캐노피 7개 이사회 의석 중 4개를 차지하며 40%에 가까운 회사의 지배권을 쥐고 있던 Constellation Brands가 대마초 거대 기업의 재무 결과에 불만을 표한 지 며칠 만에 나온 조치다.[35] (당시 CFO Tim Sunders가 교체되었다.) 브리티시 컬럼비아퀘벡의 온실 시설의 규모를 늘리기 위한 노력 중에 상당한 손실이 보고되었다. 2018년 4분기 순손실은 예상보다 훨씬 컸으며, 주주 귀속 순손실은 애널리스트들이 예측했던 순손실보다 훨씬 높은 3억3,560만달러를 기록했다. CTV 뉴스는 이 상황을 다음과 같이 요약했다: "대마초 회사의 비용이 증가했고, 순손실이 확대되었으며, 의료 및 레크리에이션 판매 활동이 전 분기에 비해 둔화되었다." Constellation Brands 사장 겸 CEO인 Bill Newlands는 2019년 6월 말에 이렇게 말했다. 도양 작전

캐노피 성장(Canopy Growning)은 캐나다 내 영업 외에도 제약회사 알칼리버S.A와 제휴를 맺고,[42] 독일에 의료용 대마초 수입법인 스펙트럼 테라퓨틱스 GmbH를 소유하고 있으며,[43] 의료용 대마초 재배업체인 스펙트럼 대마초 덴마크 Aps와 제휴를 맺고 있다.[44] 이 회사는 호주뿐만 아니라 [45][46][47]자메이카, 칠레, 페루, 브라질에서도 사업에 참여하고 있다. 2018년에는 체코 유통업체인 아나비스메디컬과 아프리카에 의료용 마리화나 공급업체인 대디캔 레소토를 인수했다.[22] 2019년 2월 캐노피는 영국 베클리재단과 제휴해 의료용 대마초를 보급했다.[48]

팽창

이 회사의 후속 인수에는 독일의 대마초 유통업체인 MedCann(현재의 Spectrum Therapeutics)과 퀘벡의 Groofe H.E.M.P.에 대한 다수의 관심이 있었다.CA Inc. Inc. 2016년 12월 초, 캐노피 성장 회사는 온타리오에 본사를 둔 또 다른 생산업체인 메트룸 헬스(CVE:MT. Mettrum 이사회의 승인을 기다리고 있는 이 거래는 2017년 1월에 종결되었다.[49]

2018년 2월 캐노피 성장공사와 북미 의료용 대마초 공급사인 수니바사가 공급협약을 발표했다. 선니바의 캐나다 자회사 선니바메디칼은 2019년 1분기부터 2년간 매년 4만5000kg의 프리미엄 품질 대마초를 캐노피에 판매하기로 했다.[56]

2019년 4월 스페인에 본사를 둔 대마초 생산업체 카냐모 이 피브라스 내추럴레스(S.L)의 인수로 유럽 진출이 이어졌다. 그 무렵 회사는 이미 덴마크 오덴세 지역에 허가받은 생산지와 독일 투틀링겐에 있는 스토츠와 비켈 시설을 소유하고 있었다.[57]

히쿠 브랜드

히쿠는 2018년 7월 10일 캐노피 성장 주식회사가 인수한 온타리오 주 토론토와 브리티시 컬럼비아 주 켈로나에 본사를 둔 레크리에이션 및 의료용 대마초 회사였다. 히쿠의 자회사로는 도쿄 스모크, 도자, 반데르 팝, 마드리 등이 있다.[60]

히쿠는 2017년 12월 도자 대마초 컴퍼니와 도쿄 스모크가 합병한 결과, 이후 마이트리 그룹과 TS브랜드코홀딩스가 추가되면서 결성됐다. 히쿠 브랜드는 2019년 3월 공식적으로 '도쿄 스모크 브랜드'가 되었다.[61] 2018년 7월 10일 대마초 생산업체인 카노피 성장주식회사는 허가받은 생산자 도자, 여성 중심 반데르 팝, 퀘벡 소재 마드리, 커피숍 체인 도쿄 스모크로 구성된 포트폴리오 브랜드를 포함한 히쿠 브랜드 인수를 발표했다.
